Acceptance of Terms and Conditions
Grabaloo
provides web services, focused on Internet-based discounts and which are subject
to the following terms and conditions of usage (hereinafter referred to as
“Terms�). grabaloo may, from time to time, update the Terms without notice
to you. You may read the latest Terms
Discounts Terms
Users
acknowledge that Discounts made available through grabaloo (hereinafter referred
to as “Discount�) are the sole responsibility of the company who is offering
the discount. The discounts are amounts are set, controlled, monitored, and
edited by the discount company. grabaloo further does not guarantee that any
Coupon is valid or that it will be honored by any company, so you may attempt to
redeem the discount only to find that a specific Advertiser does not honor that
Coupon. grabaloo is not responsible for any loss or damages of any kind that may
result from your inability to redeem Discounts made available through this
Service.
You agree to hold grabaloo harmless from any loss or damages
associated with grabaloo made available through this Service You agree not to
copy, cache, or syndicate Discounts. You may link to discounts stored on
grabaloo website, but you may not copy, cache or syndicate the image of the
coupon independently of grabaloo. To do so, will cause grabaloo to lose revenue,
and by accepting this Agreement, hereby agree to compensate grabaloo for such
lost revenue.
Registration Obligations
In consideration
of use of the Service, you agree to: (a) provide accurate, true, current and
complete information about yourself as prompted by the Service's registration
form (such information being the "Registration Data") and (b) maintain and
promptly update the Registration Data to keep it true, accurate, current and
complete. If you provide any information that is untrue, inaccurate, not current
or incomplete, or grabaloo has reasonable grounds to suspect that such
information is untrue, inaccurate, not current or incomplete, grabaloo has the
right to suspend or terminate your account and refuse any and all current or
future use of the Service (or any portion thereof).
Privacy
Policy
grabaloo does not sell, rent or barter personal information
including email addresses. Despite the large sums of money dangled before us, we
think that selling this sort of information is sleazy, and there are more
important things in life than turning a buck by selling email addresses or
private information. We may make usage and demographic information available in
aggregate form, but we won’t sell your personal information.
User
Restrictions
As the user, you are required to accept total
responsibility for your behavior and conduct while using the Services. Common
courtesy and mutual respect are necessary when communicating with other members
of grabaloo, please read over the following list of what actions you agree to
refrain from while using the Services:
1) Using the Services to
transmit, route, provide connections to, or store any material that infringes
upon a copyright or violates or promotes the violation of the intellectual
property rights of any user or other entity, or using as group names, email
addresses, or terms which may violate the trademark rights of third parties.
2) Copying, creating a derivative work of, reverse engineering, reverse
assembling or otherwise attempting to discover any source code of, or modifying
the Services in any manner.
3) Sending, posting, exchanging, sharing,
promoting, or advertising harmful, obscene, defamatory, misleading, slanderous,
harassing, abusive, threatening, offensive or unlawful material or material that
violates anyone else's rights, including their right to privacy.
4)
Assuming the identity of any individual other than yourself. You may not
impersonate another member, or a grabaloo staff member.
5) Distributing
or sending unsolicited e-mail, text, or "spam," "chain letters" or "pyramid
schemes" or any other form of unauthorized solicitation, including promotions
and/or advertising of products or services.
6) Uploading or transmitting
materials through grabaloo.com which: (i) restrict or inhibit any other users
from using and enjoying the Services; (ii) contain a virus or other harmful
component, files or programs designed to interrupt, destroy or limit the
functionality of any computer software, hardware, telecommunications equipment
or system; (iii) are intended to violate system integrity, including the use of
any device, software or routine to interfere with the proper working of
grabaloo.com; (iv) monitor or copy content on grabaloo.com by using any robot,
spider, crawler or other automatic device or manual process, without our prior
written permission; or (v) impose an unreasonable or disproportionately large
load on grabaloo infrastructure. Commission of these or other illegal,
fraudulent or deceptive acts may subject you to sanctions, including termination
of your access to the Services, and possible civil or criminal liability.
grabaloo has the right, but not the responsibility to eliminate or remove any
content or terminate any user groups that may violate these restrictions.
We reserve the right to edit, move, or delete any of your content for
any reason and our Clients may do the same. We may preserve and disclose content
or user information if required to do so by law or in the good faith belief that
doing so is necessary to: (i) comply with legal process; (ii) enforce these
terms; (iii) respond to claims that any content violates the rights of third
parties; (iv) protect the rights, property, or personal safety of grabaloo, any
users of our Services or the public; or (v) administer the Services.
Limitation of Liability
UNDER NO CIRCUMSTANCES WILL
GRABALOO OR ITS EMPLOYEES, OFFICERS OR DIRECTORS BE LIABLE TO YOU FOR ANY
INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES ARISING OUT OF
OR IN CONNECTION WITH USE OF THE SERVICES WHETHER OR NOT GRABALOO HAS BEEN
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
If you are dissatisfied with
the Services or any content on grabaloo.com or the network of sites and outlets,
or with these Terms and Conditions, your sole and exclusive remedy is to
discontinue using the Services. You acknowledge, by your use of the Services,
that your use of the Services is at your sole risk.
Termination of
Service
You agree that grabaloo, at its sole discretion, may delete
or deactivate your account, block your IP address or email or otherwise
terminate your access to or use of the Service (or any part thereof),
immediately and without notice, and remove and discard any Content from the
Service, for any reason, including, without limitation, if grabaloo believes
that you have acted in a manner that is inconsistent with the Terms, you agree
that grabaloo shall not be liable to you or any third-party for any termination
of your access to the Service. Further, you agree not to attempt to use the
Service after said termination. Indemnity You agree to indemnify, defend and
hold harmless grabaloo, its employees, officers and directors, or Clients from
and against any and all claims, liabilities, penalties, settlements, judgments,
fees (including reasonable attorneys' fees) arising from (i) any content that
you or anyone using your account may submit, post or transmit to the web site;
(ii) your use of the discount service (iii) your violation of the terms of these
Terms and Conditions; and (iv) any violation or failure by you to comply with
all laws and regulations in connection with the Services. Violations of Terms
